Annual General Meeting

Where and when will Nobel Biocare hold its next annual meeting?

The Annual General Meeting (AGM) 2013 will be held in the Swissôtel in Zurich-Oerlikon on 28 March 2013.

How long does an Annual General Meeting last?

The official part of the Annual General Meeting normally lasts between 90 minutes and two hours. Following the official part, a meal offered by the company will be served.

Can I have someone represent me at the Annual General Meeting?

Yes. In the event that you are unable to attend the Annual General Meeting in person, you can be represented a follows:

  • by your legal representative or another shareholder with the right to vote

  • by a representative officer of Nobel Biocare Holding Ltd

  • by the independent proxy

  • be the custodian bank representatives as defined in Art. 689d CO, by contacting directly your depository bank

What is a representative officer?

The representative officer is either a member of Nobel Biocare Group or a person appointed to represent the company and entitled to exercise its right to vote in line with all Board proposals.

What is an independent representative?

If a company listed on the stock exchange, like Nobel Biocare, designates a representative officer, it must designate an “independent person whose representation can be authorized by the shareholders” (Article 689c of the Swiss Code of Obligations). The independent representative exercises the voting right as prescribed by the written voting instructions.
